The date of dividend payment cannot be arbitrarily changed

If a limited liability company (spółka z o.o.) has made a profit, a resolution on its allocation should be adopted at the ordinary meeting of shareholders. Profit may, in particular, be paid to shareholders as a dividend. However, is it possible to change the date of payment for any reasons?

Engineering Forum organized by the Lower Silesian District Chamber of Civil Engineers

At the invitation of the Lower Silesian District Chamber of Civil Engineers, Joanna Sebzda – Załuska, GWW partner, took part as a speaker in the Engineering Forum organized by the Chamber.

 

During the Forum, Joanna Sebzda – Załuska together with professor Krzysztof Schabowicz, Chairman of the Regional Disciplinary Court at the Lower Silesian District Chamber of Civil Engineers, discussed new regulations applicable to the investment process, and also took part in a panel discussion among engineers, designers and representatives of public administration bodies.

GWW advised on a record-breaking transaction in Poznan

The real estate and tax team of GWW advised BPI Real Estate company, a leading real estate developer in Belgium and Luxembourg, on one of the largest transactions in Poland, and at the same time a record one in Poznań.

The transaction related to a land property purchased from Międzynarodowe Targi Poznańskie in the quarter of Grunwaldzka-Ułańska-Matejki Streets, intended for the purposes of a multifunctional development project. The transaction value is PLN 114.5 million.

The team was composed of: Paweł Wójcik, Joanna Sebzda-Załuska, Elżbieta Kamińska, Wojciech Kozorys, Joanna Pisula, Dorota Chramęga, Marcin Borkowski, Ph.D., Artur Bubrowiecki, and Mariusz Tkaczyk.

September changes in labor law

At the beginning of September, several new regulations in the field of labor law entered into force and this is probably not the end of changes that the legislator is preparing for employers and employees this month. Not only did the Act amending the Act on the Posting of Workers and certain other acts significantly change applicable regulations on the posting of workers within the framework of provision of services, but it also extended the possibility of instructing employees to work remotely and enabled re-verification of companies’ applications for exemption from Social Security contributions.

A supervisory board member must not run competitive activities

A supervisory board needs to be established in a joint-stock company. As a rule, its members are appointed by the general meeting, unless the articles of association provide otherwise. However, can certain shareholders have a direct impact on the appointment of board members in some specific situations?

1st GWW Beach Volleyball Tournament

At the end of the summer season, we organized the GWW Beach Volleyball Tournament at the Monta Beach Volley Club in Warsaw, to which we invited all employees of our law firm. We had great sun and moods, emotions reached fever pitch, and there were also some surprises. The whole season of corporate training paid off, now it is time to start volleyball training in the hall.

Saturday's tournament turned out to be a lot of fun for both players and supporters, so we are already thinking about the second edition of the tournament.

Thermo-modernization relief also for a spouse – property co-owner

A thermo-modernization relief entered into force in the Personal Income Tax Act as of January 2019. It consists in deducting expenses incurred for implementation of a thermo-modernization project in a single-family residential building from the tax calculation basis. According to the latest individual interpretation of the Head of the National Revenue Administration (KIS), a spouse – co-owner of the property also may benefit from the relief, even if he or she was not mentioned in the notarial deed confirming the property purchase.
