Students will gain their first experience in legal or tax advisory teams. The best students will be offered permanent cooperation.

And this is only part of the scope of our cooperation!

A formal breach does not always invalidate a resolution

The shareholders' meeting of a limited liability company must be convened and conducted in accordance with certain procedures. If they are not followed, resolutions of the meeting may be challenged. What formal violations decide that a given resolution is deemed invalid? The answer to this question can be found in today's issue of Dziennik Gazeta Prawna, which was given by Dr. Marcin Borkowski.

Not every formal defect will block a merger

Commercial companies may merge with each other. A merger is a formalised procedure. It is based on a merger plan. Certain additional documents must be attached to the plan. Transfer of a decision legalising arbitrary construction is uncertain – controversial interpretation

Some district building supervision inspectors, at the request of an investor, transfer a decision legalising a building will. In the opinion of the Chief Inspector of Building Supervision, this is a mistake. The Construction Law does not provide for such a possibility. Not all lawyers agree with this interpretation, because the regulations must be viewed more broadly, not only literally, and the case law must not be forgotten. Martyna Sługocka comments on the case in the article on Prawo.pl.
