Corporate law is primarily related to the practice of running large businesses, where legal processes need to effectively serve the implementation of management decisions, but not impede the growth of the company. It is crucial that lawyers are well versed in the opportunities that the law provides and at the same time have a good understanding of business practice.

These principles do not only apply to large companies. We also address our corporate services to medium-sized and smaller clients, where the correct organisation of corporate governance, particularly at the shareholder level, is equally important for business success.

In each case, we focus on ensuring that corporate governance principles are tailored to meet the individual needs of our clients and protect their interests.

What does our current work look like in practice?

• We carry out dozens of restructuring processes within companies or capital groups every year, consisting of the reorganisation of  capital structure or company transformations
• The average value of transferred assets in in-kind transactions handled by us ranges from a few million
• The last largest in-kind transaction amounted to almost PLN 1.5 billion.

There are no corporate law problems that we cannot solve. We provide both day-to-day corporate services to our clients and project-based services involving intra-group restructuring processes (change of group structure, capital changes, simplification of structure).

As part of the corporate service:

• We plan and implement optimal solutions regarding the form of the business, including tax aspects.
• We provide comprehensive services for company transformation processes (mergers, demergers, conversions, including cross-border processes) and the transformation of the form of economic activity of natural persons (JDG).
• We implement changes in the capital structure of companies (increase, reduction of capital, redemption of shares).
• We deal with the preparation of statutory documents for companies and company bodies.
• We set up “tailor-made” companies, corresponding to the client’s specific business, size and ownership structure.
• We plan and implement managerial and option programmes.
