Develia has signed a preliminary agreement for the sale of Wola Retro

Develia S.A. has signed a preliminary sale-purchase agreement (PSPA) with an Adventum Group entity for Wola Retro, a prestigious office building located in the Daszyńskiego Roundabout area of Warsaw. The agreed price is approximately EUR 69.8 million. The transaction is scheduled to close by the end of April 2023.

The GWW team is responsible for providing ongoing support to Develia S.A. on tax issues related to the planned Wola Retro sale transaction. The project is being handled on GWW's side by Mariusz Tkaczyk and Artur Bubrowiecki.

Amendments to the Commercial Companies Code

This month, an amendment to the Companies Act became effective, which introduces into the Polish commercial law system the regulation of a special type of dependency relationship between a parent company and its subsidiaries. New institutions, such as a group of companies, the interest of a group of companies or the institution of a binding order, enter the legal market. Inconsistent use of regulations on the measurement of noise emissions by environmental authorities

The Environmental Protection Law of 27 April 2001 allows the authorities indicated therein to issue decisions on permissible noise levels to entities using the environment. For exceeding permissible noise emission levels, the legislator provides for severe fines. From the perspective of the above regulations, it is extremely important that the authorities authorised to do so reliably determine the actual level of emitted noise. However, this is not always the case. The matter was comprehensively addressed by Kacper Kudlek, attorney at GWW.

Wholesaler or retailer? Problems with verifying counterparty status under the sugar levy

The levy on foodstuffs – the so-called sugar levy – has already existed in the Polish legal system since January 2021 and has continuously raised controversy and practical problems since then. One such problem is the failure of the law to specify how it should be verified whether the purchaser of the goods conducts only retail/wholesale sales or sales with both characteristics. Establishing this fact is important, as it determines who will be obliged to pay the fee. Recently, provincial administrative courts have addressed this issue in judgments, excerpts of which are worth quoting, as they may contribute to at least a partial resolution of the issue of verification of contractor status in the near future.
