A formal breach does not always invalidate a resolution
The shareholders' meeting of a limited liability company must be convened and conducted in accordance with certain procedures. If they are not followed, resolutions of the meeting may be challenged. What formal violations decide that a given resolution is deemed invalid? The answer to this question can be found in today's issue of Dziennik Gazeta Prawna, which was given by Dr. Marcin Borkowski.
